Terms of Service

1. Introduction and Acceptance

Pact ("we," "our," or "us") operates the pactapp.io website and the Pact mobile and desktop applications, along with related tools and features (collectively, the "Service"). These Terms of Service ("Terms") govern your access to and use of the Service.

By creating an account, accessing, or using the Service in any way, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

2. Account Terms

To use the Service, you must:

  • Be at least 18 years old and have the legal capacity to enter into a binding contract.
  • Provide accurate, current, and complete information when creating your account, and keep that information up to date.
  • Maintain the security of your login credentials and immediately notify us of any unauthorized access to your account.
  • Be responsible for all activity that occurs under your account.
  • Maintain only one account per individual user, unless otherwise authorized by us in writing.

3. Subscription and Billing

Paid features of the Service are offered on a subscription basis. Payments on the web are processed by Stripe; payments in our mobile apps are processed by Apple via in-app purchase. By subscribing you agree that:

  • Your subscription will automatically renew at the end of each billing period (monthly or annual, as selected) until you cancel.
  • You authorize us to charge your payment method on a recurring basis for the applicable subscription fees.
  • We may change subscription prices from time to time. We will provide reasonable advance notice of any price changes that affect your current plan, and such changes will take effect on your next renewal.
  • All fees are exclusive of taxes, which you are responsible for paying where applicable.
  • Mobile subscriptions purchased through Apple are governed by Apple's billing terms in addition to these Terms.

4. Cancellation

You may cancel your subscription at any time through the billing portal in your account settings. Cancellation will take effect at the end of your current paid billing period, and you will continue to have access to paid features until that period ends. We do not prorate partial billing periods except where required by law.

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party right.
  • Send, request, or facilitate fraudulent, forged, or unauthorized signatures.
  • Impersonate any person or misrepresent your identity or affiliation.
  • Upload, transmit, or distribute malware, viruses, or any other harmful code.
  • Interfere with, disrupt, or attempt to gain unauthorized access to the Service or its underlying systems.
  • Reverse engineer, decompile, or attempt to derive the source code of the Service, except as expressly permitted by law.
  • Scrape, crawl, or use automated means to extract data from the Service without our written permission.
  • Harass, abuse, or harm other users, signers, or Pact staff.

6. User Content and Document Ownership

You retain all rights, title, and interest in and to the documents, signatures, contacts, and other content you upload or create through the Service ("User Content"). Pact does not claim ownership of your User Content.

You grant Pact a limited, worldwide, non-exclusive, royalty-free license to host, store, process, transmit, display, and back up your User Content solely for the purpose of providing, securing, and improving the Service for you. This license terminates when you delete your content or close your account, except to the extent retention is required by law or necessary to complete pending signature transactions.

You represent and warrant that you have all rights necessary to upload and process your User Content through the Service and that doing so does not violate the rights of any third party.

7. Electronic Signatures

The Service enables you to send, receive, and execute documents using electronic signatures. Electronic signatures collected through Pact are intended to be legally binding under the United States Electronic Signatures in Global and National Commerce Act (ESIGN), the Uniform Electronic Transactions Act (UETA), and analogous laws, where applicable.

You are solely responsible for determining whether your use case, document type, jurisdiction, and counterparties permit the use of electronic signatures. Certain documents (such as wills, certain trusts, and some family-law instruments) may be excluded from electronic-signature laws. Pact does not provide legal advice, and you should consult qualified counsel if you are unsure whether an electronic signature is appropriate for your situation.

8. Third-Party Services

The Service integrates with and relies on third-party providers, including but not limited to Stripe (payments), Apple (in-app purchases), Resend and other email delivery providers, SMS providers, Amazon S3 (file storage), and Heroku (hosting). Your use of features that rely on these providers may be subject to their respective terms of service and privacy policies. We are not responsible for the acts, omissions, or availability of third-party services.

9. Intellectual Property

Except for User Content, the Service and all related software, designs, text, graphics, logos, trademarks, and other materials are owned by Pact or our licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business or personal use in accordance with these Terms. No other rights are granted.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

Pact does not warrant that the Service will be uninterrupted, error-free, or secure, or that defects will be corrected. Pact does not provide legal advice, and nothing in the Service should be construed as legal advice. You are responsible for ensuring that your use of the Service complies with all laws applicable to you and your documents.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL PACT, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE, EVEN IF PACT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

PACT'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO PACT FOR THE SERVICE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

12. Indemnification

You agree to indemnify, defend, and hold harmless Pact and its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your User Content; (b) your use or misuse of the Service; (c) your violation of these Terms; or (d) your violation of any law or the rights of any third party.

13. Termination

You may terminate your account at any time by cancelling your subscription and closing your account through the account settings. We may suspend or terminate your access to the Service, with or without notice, if we reasonably believe you have violated these Terms, created risk or legal exposure for Pact, or for prolonged inactivity.

Upon termination, your right to use the Service will cease immediately. We will provide a reasonable window for you to export your documents and data prior to deletion, except where immediate action is required to protect the Service, other users, or to comply with legal obligations. Sections of these Terms that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and indemnification) will survive.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through an in-app notice before the changes take effect. The "Last updated" date at the top of this page indicates when the Terms were most recently revised. Your continued use of the Service after changes become effective constitutes your acceptance of the updated Terms.
